Partnership Terms and Conditions
These Terms and Conditions (“Agreement”) govern the participation of partners (“Partner”) in the SME Innovation Network (“the Network”). By joining the Network, the Partner agrees to contribute meaningfully to the community, share expertise, and uphold the standards outlined herein.
1. Participation and Time Commitment
1.1 Partner Onboarding
The Partner shall nominate at least one representative to attend an official onboarding session (virtual or in-person) within the first 30 days of enrolment.
1.2 Quarterly Network Engagement
The Partner shall ensure participation in all Quarterly Partner Review Sessions, nominating at least one representative to attend (virtually or in-person).
1.3 Thematic Working Groups
The Partner commits to active involvement in at least one thematic working group (e.g., Automation & AI, Branding & Marketing) and shall contribute a minimum of eight (8) hours per quarter to meetings and related deliverables.
2. Knowledge Sharing and Thought Leadership
2.1 Workshops and Webinars
The Partner agrees to host or co-host at least one (1) webinar, online session, or workshop every six (6) months, focused on knowledge sharing, SME capacity building, or best practice dissemination.
2.2 Content Contributions
The Partner shall submit at least one (1) high-value knowledge asset every six (6) months—such as a white paper, case study, industry template, or success story—for publication on the Network platform. All submitted content must meet Network editorial and ethical standards.
3. Marketing, Visibility, and Outreach
3.1 Co-Branding and Recognition
The Partner agrees to display the SME Innovation Network logo on its website and in relevant marketing materials, in accordance with brand guidelines provided by the Network.
3.2 Social Media and Publicity
The Partner will promote the Network by amplifying a minimum of four (4) pieces of Network content (e.g., event announcements, news posts, or achievements) annually via its corporate social media or communication channels.
4. Governance, Compliance, and Intellectual Property
4.1 Code of Conduct
The Partner agrees to adhere to the Network’s Code of Conduct, which includes provisions related to anti-corruption, data privacy, non-discrimination, confidentiality, and professional integrity. Breaches may result in suspension or termination of partnership.
4.2 Intellectual Property and Licensing
Any intellectual property jointly developed through Network activities shall be licensed under pre-agreed terms (e.g., Creative Commons or open-source licence, as determined on a case-by-case basis). Partners retain ownership of their proprietary content but grant the Network a non-exclusive licence to publish, share, and promote submitted materials.
5. Impact Reporting and Performance Metrics
5.1 Annual Impact Submission
The Partner shall provide an annual report outlining activities undertaken, such as pilots supported, SME engagement outcomes, and event participation metrics. This report must be submitted within thirty (30) days of the end of the calendar year.
5.2 Key Performance Indicators (KPIs)
The Partner agrees to establish 2–3 relevant KPIs in collaboration with the Network (e.g., number of SMEs onboarded, solutions piloted) and provide progress updates on a semi-annual basis.
6. Term, Renewal, and Termination
6.1 Term and Renewal
This Agreement shall remain in effect for one (1) year from the date of acceptance and shall automatically renew annually unless terminated with sixty (60) days’ written notice by either party.
6.2 Termination for Cause
Either party may terminate this Agreement with thirty (30) days’ written notice in the event of a material breach. Termination does not relieve the Partner of any outstanding obligations or fees due.
7. Legal Provisions
7.1 Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
7.2 Amendments
The Network reserves the right to amend these terms from time to time. Any material changes will be communicated in writing at least thirty (30) days prior to implementation.
